Leading think tank are looking for a contracts, risk and compliance manager to oversee the management of risk on a day-to-day basis, reporting to the COO. You will be working with the in-house solicitor in reviewing, drafting and amending contracts You will be ensuring compliance across the organisation with statutory requirements e.g. on data protection, bribery and corruption, and conflict of interest, as well as compliance with relevant regulatory requirements. Experience in the Charity Sector would be an advantage.

Responsibilities:

  • Be responsible for ensuring that risk registers are maintained and updated, to track risk within the organisation, and work with appropriate level team members to assess and minimise the risks identified.
  • In consultation with team leaders and the COO, help to put in place measures to reduce risk, including writing new policies and procedures or keeping existing ones up to date.
  • Answer questions regarding project and travel risk assessments and ensure their adequate completion.
  • Ensure adherence to any risk policies and procedures through communication with staff and deliver training sessions on new policies as appropriate.
  • Draft agreements related to research projects, based on template agreements. Respond to queries from subcontractors/consultants and draft amendments to those agreements. Ensure that agreements with subcontractors cover – where applicable – all the obligations undertaken in the main contract by the Institute. Prepare the pack of papers to be signed and progress to signature using online signing software.
  • Carry out an initial review of commercial contracts, including funding agreements, frameworks, MDA.s MOUs, collaboration and teaming agreements and work with the in-house Solicitor to deal with any areas of risk in those contracts that need negotiating in order to progress to signing.
  • Link appropriate insurance to risks by reviewing and working with insurance brokers to negotiate and put in place appropriate cover.
  • Attend all Audit & Risk Committee meetings to update members on the risks that the Institute faces and the mitigations in place, as well as take minutes for each meeting.
  • Work with the Bids & Contracts team to ensure that they have in place all policies and procedures that are required by funders on various projects, and monitor compliance with those policies and procedures.
  • Work with the In-house solicitor and the COO to ensure that the institute complies with all other statutory or regulatory requirements e.g. around data protection.
  • Advise the Institute on data protection matters and provide practical advice to ensure adequate compliance with data protection regulations.
  • Carry out due diligence procedures on subcontractors and maintain records of those procedures.
  • Respond to due diligence requests.
  • Carry out sanctions screenings for subcontractors and suppliers.

It is essential that you have a proven track record (ideally about 3 years' experience) in a risk and compliance and/or legal/contract management role. Experience in the Charity sector would be an advantage. Experience in drafting, negotiating and amending contracts and a working knowledge of requirements including data protection, bribery and corruption and conflict of interest is also a must.
