Global private equity group are looking for a legal counsel for their London Office. The legal counsel will be primarily responsible for assisting in the management of the negotiation and completion of all the types of transactions undertaken by the company and where applicable, its affiliates. You will need a strong background either in-house working for a global business or in private practice with an emphasis on either aviation or other large assets, or a general transactional background in M&A. Key Responsibilities

  • Support the group's pipeline activities, including its strategic mergers and acquisitions (M&A) initiatives, its commercial campaign plans, and its transaction leads and advanced transaction engagements, through the assurance of timely, comprehensive, and accurate internal and external legal advice, support and resources;
  • Support the group's capital structure activities and initiatives, including in corporate structuring, equity raising, debt and other financing facility design, structuring, negotiation, execution, waiver and amendment management;
  • Assist in sourcing, co-ordinating and managing specialist legal advice as necessary in areas adjacent to core M&A, corporate, financing and aviation activities (including without limitation regulatory, employment and IP matters);
  • Assist with transactions and projects as above through documentation phase to contract signature and closing;
  • Advise, structure, draft, negotiate and execute financing transactions, documentation and contracts including cross-border aircraft lease agreements, sale and purchase agreements, lease restructuring agreements, novation agreements and financing agreements;
  • Co-ordinate and manage input from technical, finance, risk, asset management and commercial departments into transaction negotiation and documentation;
  • Ensure that all documentation is completed to meet deadlines and in accordance with the required standards and guidelines;
  • Appoint and manage external legal and tax advisors in all relevant jurisdictions;
  • Manage and resolve issues and disputes with lessors, financiers, airlines, manufacturers and other third parties and manage relationships with other stakeholders and external service providers, including law firms;
  • Liaise with corporate service providers in various jurisdictions to establish and manage special purpose companies; and
  • Provide input and expertise to cross-functional deal teams in initial transaction structuring process and in letters of intent, term sheets and other ancillary matters.
