Job Title: Corporate Paralegal / Trust Paralegal: In-house - Funds

Location: Central London

Salary: £55,000+ (negotiable depending on experience)

International trust and financial services firm are looking for an experienced paralegal / legal executive to join their small legal team in London who mainly deal with offshore investment funds. The role will initially be to provide support for the London office and then eventually to take responsibility for your own portfolio of clients in the off shore fund sector. They cover a broad range of corporate and funds work and are looking for someone with a solid corporate / funds / trusts background. Will suit an ambitious paralegal this is an exceptional environment to learn and gain extremely high quality experience as there are no trainees. The role will include :

  • Completing company secretarial matters including drafting of minutes and resolutions and maintaining corporate records of client companies
  • Assistance with administration of trusts and drafting of relevant trust deeds and instruments
  • Drafting and review of trust documents, constitutional documents, correspondence, legal agreements, notices and other documentation relating to private companies and trusts including, but not limited to, loan agreements, assignment agreements, share purchase agreements and option agreements
  • Negotiating and communicating with third parties in respect of the administration of the  trusts and client companies, including promoters, investment managers, financial advisors and service-providers to the client companies and trusts
  • Ad hoc Legal research
  • Preparation of client proposals in respect of the establishment of trusts and related corporate entities, establishment of investment funds, and provision of corporate, trustee and administrative support and services for same
  • Drafting and proof-reading of investment fund documentation, including private placement memoranda, counterparty agreements, communications with regulatory authorities in offshore jurisdictions and communications with investors and shareholders

A thorough understanding of legal and commercial documents, and corporate and trust structures is essential. Experience in trusts and general commercial/corporate work from either private practice or another in-house team is also essential. The role would ideally suit an experienced Paralegal / legal executive looking for a different environment and expectation.
